Estate Planning/Asset Preservation

Our office began its estate planning practice as an offshoot of asset preservation and succession planning for our developer clients.  We believe in the importance of careful planning for the continuation and preservation of our clients’ business interests and estates and therefore offer estate planning services as an integral part of our overall practice. We employ a variety of estate planning techniques including the establishment of living trusts, gifting plans, family limited partnerships, capital gains preservation trusts, and charitable remainder trusts, and where necessary the creation of trusts and conservatorships for the care of dependents with special needs. Our approach is to design a plan that reflects your goals and wishes while minimizing, to the extent possible, federal estate tax, federal and state capital gains taxes,  and estate administration and distribution costs. Probate and Trust Administration

The primary purpose of pre-death estate planning is to avoid probate.  In the event a client is faced with estate assets which must to distributed by a will, or where no will exists, our services also include probate administration of decedents’ estates and the administration of living trusts after death. In the event controversies arise during probate or estate administration, we represent our clients in the mediation and litigation of these sensitive and often complex matters.

Land Use Environmental Services

Our firm had been primary counsel on many small and large real estate development projects since the mid-1980s.  A representative list of these projects is listed under “New and Ongoing Projects”.  Although often specific projects require difference disciplines, in general our firm works with civil engineering firms and a variety of experts [wetlands, species, water quality specialists] to assist the client in evaluating the likelihood of success of the commercial project and then represent the client in applications for the development project because local and federal agencies.  Where the project is challenged we represent the client in defending the entitlements. 
 
We also have many ranching clients. Occasionally, our ranching clients have interests at odds with nearby commercial and/or industrial development.  In those cases, where farm/ranch concerns cannot be negotiated successfully,  we bring actions to protect our farming interests.  In some cases, we defend resource clients whose rights are vested against NIMBY challenges.

Real Estate/Business Development

Often, we set up new entities handle investment financing and protect the client from third party liability. We form Limited liability companies and corporations transfer assets into these entities, and supervise initial entity activities, preparing resolutions and sitting in on initial meetings.  Many of the companies identified in the Client List were formed by our office. Often post formation clients handle all their ongoing payment and management with the applicable Secretary of State.  We also provide ongoing management services for entities we form.  Our firm offers LLC and S-Corp Annual Compliance services for a fixed fee.  The application forms are attached here.
